1. Acceptance of Terms

By accessing or using the Atlas Carrier Group website ("Site") or engaging our dispatch services, you agree to these Terms of Service ("Terms"). If you do not agree, please do not use the Site or our services.

2. Description of Services

Atlas Carrier Group provides freight dispatch services to independent carriers and small fleets, with an initial focus on box truck operators. Our dispatch services include:

• Sourcing and negotiating available freight loads on behalf of qualified carrier clients
• Coordinating load details, scheduling, and communication between carriers and freight brokers/shippers
• General back-office support related to load booking

Atlas Carrier Group is a dispatch service, not a licensed freight broker or motor carrier. We do not hold Motor Carrier (MC) authority, a surety bond, or broker insurance, and we do not take possession of, arrange transportation as a broker of record for, or assume liability for freight. All carrier clients are independent contractors responsible for their own operating authority, insurance, licensing, and regulatory compliance (including FMCSA and DOT requirements).

3. Carrier Eligibility and Onboarding

Use of our dispatch services requires completion of our carrier qualification process and execution of a separate Dispatcher-Carrier Agreement, which governs the specific commercial terms of the working relationship (including fees, obligations, and responsibilities). These Terms govern use of the website generally; the Dispatcher-Carrier Agreement governs the active dispatch relationship, and where the two conflict on matters specific to that relationship, the Dispatcher-Carrier Agreement controls.

4. Independent Contractor Relationship

Nothing in these Terms or in our services creates an employment, partnership, joint venture, or agency relationship between Atlas Carrier Group and any carrier client, beyond the limited agency needed to negotiate and coordinate loads on the carrier's behalf as authorized. Carriers remain independent business operators at all times.

5. No Guarantee of Loads or Results

Atlas Carrier Group makes reasonable efforts to source and negotiate freight opportunities but does not guarantee any specific volume, rate, frequency, or availability of loads. Market conditions, broker/shipper decisions, and carrier availability are outside our control.

6. Website Use

You agree to use the Site only for lawful purposes. You may not:

• Attempt to gain unauthorized access to the Site or its systems
• Use the Site to transmit harmful code or unauthorized advertising
• Misrepresent your identity or carrier credentials when submitting information

7. Intellectual Property

All content on the Site, including text, graphics, and branding, is the property of Atlas Carrier Group unless otherwise noted, and may not be copied or used without permission.

8. Disclaimer of Warranties

The Site and our services are provided "as is" without warranties of any kind, express or implied. We do not warrant that the Site will be uninterrupted, error-free, or secure.

9. Limitation of Liability

To the fullest extent permitted by law, Atlas Carrier Group is not liable for any indirect, incidental, special, or consequential damages arising from use of the Site or our dispatch services, including lost revenue, lost loads, or business interruption. Nothing in these Terms limits liability that cannot be limited under applicable law.

10. Indemnification

You agree to indemnify and hold Atlas Carrier Group harmless from claims, damages, or expenses arising out of your use of the Site, your carrier operations, or your breach of these Terms or the Dispatcher-Carrier Agreement.

11. Termination

We may suspend or terminate access to the Site or our services at our discretion, including for violation of these Terms. Termination of the dispatch relationship itself is governed by the Dispatcher-Carrier Agreement.

12. Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles.

13. Changes to These Terms

We may update these Terms from time to time. Continued use of the Site after changes constitutes acceptance of the updated Terms.
